1. Agreement and parties

These terms are an agreement between you and Neldra Technologies LLC, 96 Clinton Ave, Newark, NJ 07114, doing business as MenuLume (“MenuLume”, “we”). They apply to anyone who creates a MenuLume account or uses the MenuLume application. By creating an account or continuing to use the service, you accept them.

You must be at least 18 years old and have the authority to bind the business you act for. When you act for a restaurant, “you” includes that business.

Guests who view a published menu are not bound by these terms. Our Privacy Policy describes what a menu page does.

2. Your account

You sign in with a link we email you or with a Google account. You are responsible for everything done through your account, including by anyone who can read your mailbox or use your Google account. Keep your account details accurate. One account may hold more than one restaurant.

3. Your content

You own the menus, text, photos, logos, videos and other material you upload or enter (“your content”). You grant us a worldwide, royalty-free licence to host, copy, process, transform, translate, display and distribute your content, including through the providers we use for AI processing, for the purpose of operating the service. The licence ends when your content is deleted, except that a published menu stays public until you unpublish it and copies may remain in backups for a limited time.

You confirm that you have the rights needed to grant this licence and that your content does not infringe anyone’s rights or break any law.

You are responsible for what guests see on your menu, including prices, availability, and allergen and dietary information. We do not verify any of it. Where the service produces output using AI — including extracted menu text, translations, enhanced photos and generated video — that output may be inaccurate, and you review it before publishing. You may use that output for your business. We claim no ownership in your content or in output produced from it. How we handle your content is described in our Privacy Policy.

4. Publishing

Publishing a menu makes it available to the public until you unpublish it. QR codes we generate point to addresses we control. We collect statistics about how published menus are used, as described in the Privacy Policy, and show them to you as totals.

5. Menu previews

Anyone may ask us to build a preview of a restaurant’s menu from publicly available information. Previews are unlisted, may contain AI-generated imagery marked as such, expire unless claimed, and do not mean that the restaurant endorses MenuLume. If you represent a restaurant and want a preview removed, email info@menulume.com and we will remove it. Claiming a preview creates an account under these terms.

6. Acceptable use

You may not use the service:

  • to publish unlawful content;
  • to create menus for a business you do not represent;
  • to scrape, load-test or interfere with the service, or to circumvent its limits;
  • in any way that breaches the policies of the AI providers we rely on.

We may remove content or suspend accounts that breach this section.

7. The service

The service is provided as is. We may change or discontinue features. We do not promise uninterrupted availability. We rely on third-party providers to operate the service.

8. Termination

You may stop using the service at any time and may ask us to delete your account by email; we delete your workspace within 30 days of a verified request. We may suspend or terminate your account if you breach these terms. When an account ends, its published menus come down.

9. Disclaimers and limitation of liability

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue, however caused. Our total liability for all claims relating to the service is limited to the amount you paid us in the twelve months before the claim arose. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Governing law

These terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law rules. Any dispute is brought in the state or federal courts located in New Jersey, and you consent to their jurisdiction.

11. Changes to these terms

We may update these terms. For material changes we give account holders reasonable advance notice by email, except changes required by law or needed for security, which take effect when posted. The date at the top shows when these terms last changed. Continuing to use the service after a change takes effect is acceptance of it.

12. Subscriptions and payment

Each restaurant you add is its own subscription, on the plan and billing cycle you choose. We ask for a card when you add a restaurant and charge nothing until its first guest scan, or 30 days after you added it, whichever comes first. From then on the subscription renews at the start of each billing cycle until you cancel.

Your first charge for a restaurant is fully refundable if you ask within 30 days of it; we then unpublish that restaurant’s menu. A pack of credits bought in that window is refunded with it only when none of it has been used. This applies once per restaurant.

You can cancel a restaurant’s subscription at any time; it stays active until the end of the billing cycle you have paid for and is not renewed. If you subscribe the same restaurant again within that cycle nothing changes; after it, the subscription starts again as a new one, without the refund period above. Moving to a higher plan takes effect immediately and the difference for the rest of the cycle is charged then; moving to a lower plan takes effect at the end of the cycle, with no refund.

Prices are in US dollars and exclude tax. Where we are required to collect sales tax, VAT or a similar tax, it is added to the charge. We may change prices on reasonable notice; a change applies from your next billing cycle.

13. Text messages

If you ask us to text you, MenuLume sends automated support text messages: a confirmation when you opt in, our replies to the support conversation you started, and nothing else — no marketing. Message frequency varies; typically 1–3 messages per conversation. Message and data rates may apply. Consent is not a condition of any purchase. Reply STOP to stop receiving texts and HELP for help, or email info@menulume.com. Wireless carriers are not liable for delayed or undelivered messages.
